Documents Required for Private Limited Company Registration
Following are the list of documents needed to register a Private limited company in India:
Directors and Shareholder’s Documents
1. PAN (Mandatory in case of Indian Nationals): Directors need to submit a Self-attested copy of their PAN.
2. Identity Proof: For identity proof any one of these can be submitted – Voter ID, Aadhaar, Driving License or Passport
3. Residential Proof: Director can submit any one of the following as his or her Proof of residence – the Latest Electricity Bill, Telephone Bill, and Mobile Bill.
Note: Utility Bill should not be older than 2 month
Documents for Registered Office Address
1. Utility Bill Copy: Latest Bank Statement/Telephone or Mobile Bill/Electricity Bill/ Gas Bill, any one, AND
2. No-objection Certificate (NOC) from landlord for use of premises,

Registration of Private Limited Company in India is regulated by the Companies Act, 2013 (and the amendments thereof).

Submit Inquiry Form:

Obtaining Digital Signature (DSC):
After basic documentation, BIZINDIGO team members start the process for the Digital Signature application.
A Digital Signature Certificate (DSC) and Director Identification Number (DIN) for all the proposed Directors of the Company must be obtained.
Digital Signature is the secure and authentic way that a document can be submitted electronically. Now, almost all filings of e-forms on the MCA portal (Ministry of corporate affairs) are required to be digitally signed by the applicant or authorized signatory.
For Obtaining a Digital Signature application to be made, to licensed Certifying Authority (CA) such as emudhra, V-sign, nCode along with a self-attested copy of Identity Proof & Address Proof of applicant.
Director Identification Number (DIN) Application:
After obtaining the Digital Signatures of all proposed directors, we apply for the Director Identification Number (DIN). DIN is pre-requirement of e-filing for Company Name approval & incorporation.
Without a valid DIN, no person can become a director in any company in India. For allotment of DIN, a DIN application be filed on MCA Portal in Form No. DIR-3.
DIN Application (DIR -3) to be accompanied by a self-attested copy of PAN, Proof of Identity, Proof of Address and one recent passport size colour photograph of the Applicant.
Note: PAN is mandatory for Indian Nationals & Passport for foreign nationals.
All Supporting documents must be attested by a practicing professional such as practicing CA, CS and CMA.
Company Name Approval through RUN (Reserve Unique Name)
After obtaining the DIN of all the proposed directors, the BIZINDIGO team members proceed further for the Name approval of your proposed company.
Name approval is to be obtained from the Registrar of Companies (ROC) by submitting a web form “RUN” (Reserve Unique Name). We can give a maximum of two names in order of preference.
Validity of Name Approval: The name once approved by the authority is valid for twenty (20) days.
Drafting of MOA & AOA:
After getting name approval, BIZINDIGO team members draft constitutional documents of your proposed Company i.e. Memorandum of Association (MOA) and Article of Association (AOA).
Digitally signing of MOA (INC-33) & AOA (INC-34)MOA & AOA is required to be digitally signed by each subscriber to the memorandum who will mention his Name, Address, description and occupation, if any, in the presence of at least one witness.
Witness will attest the signature and shall likewise digitally sign and add his Name, Address and occupation if any.
Practicing professionals (CA, CS or CMA) can be witnesses.Duly subscribed, digitally signed eMOA & eAOA is required to be filed with RoC along with the SPICe form (INC-32).
Filing of Incorporation Forms (SPICe Form, INC-32):
After approval of Name of proposed company, applicant is required to file SPICe Form INC-32 in order to obtain the Certificate of Incorporation (COI).
The following forms or supporting documents to be filed with the RoC along with SPICe Form/ INC-32:
- Affidavit from Directors for non-acceptance of deposits
- Form DIR-2 (Consent to act as a Director of a company)
- INC-9 (Director Declaration in the form of Affidavit on non-judicial stamp paper)
- eMOA (INC-33)
- eAOA (INC-34)
- Identity & Address proof of Subscribers
- Identity & address proof of Directors
- Registered Office address proof
- NOC
- Latest Utility bill in support of Registered Office address
Filing PAN and TAN Application (eForm 49A & 49B)
Now, as per newly introduced form SPICe, PAN and TAN is being applied along with SPICe form (INC-32) only.
After filing of SPICe form (INC-32) for Incorporation, Form49A for PAN Application and Form49B for TAN application is generated. Digitally signed forms (49A & 49B) then uploaded on MCA portal in order to obtain the PAN and TAN number of the proposed company.
Incorporation Certificate:
If, Roc find everything ok or in place, the Certificate of Incorporation is issued along with a unique CIN (Corporate Identification Number) and allotted PAN Number.
Now, COI is being issued along with PAN number mentioned on it. So, there is no need to wait to receive physical PAN card to open a Bank account.
The Company is deemed to be incorporated from the date of the Certificate of Incorporation.
