What is One Person Company?

The concept of One Person Company (OPC) as a new business form is introduced by the Companies Act, 2013. One Person Company is for individuals to carry on business with limited liability. This form of business entity is a Private Limited (OPC) having only one member or we can say that OPC is the preferred choice of business for startups who have only one founder.

Every OPC has to mandatorily nominate a nominee Director in the MOA or AOA who will become the owner of the OPC in case the promoter Director is disabled. An OPC must be converted into a Private Limited Company if it crosses an annual turnover of Rs.2 crores and must file audited financial statements with the Ministry of Corporate Affairs (MCA) at the end of each Financial Year.
